HarperLloyd Recruitment is currently partnered with a commercially connected Sydney CBD practice to appoint a Corporate & Commercial Lawyer into its growing transactional team.

This is not a traditional "back room" corporate role. The practice operates closely alongside a broader accounting, advisory and financial services ecosystem, creating strong exposure to live commercial transactions, founder-led businesses and sophisticated advisory work.

For the right lawyer, this role offers the opportunity to move beyond purely technical execution and become commercially embedded in client strategy, transactions and long-term business advisory relationships.

The role:

• advising on mergers & acquisitions and strategic corporate transactions
• assisting on equity capital markets and capital raising matters
• drafting and negotiating transactional documentation
• advising on ASX Listing Rules and Corporations Act matters
• managing matters from structuring and negotiations through to completion
• assisting with governance, restructuring and shareholder matters
• working directly with business owners, boards and senior stakeholders
• liaising with ASIC, the ASX and external advisers
• supporting clients on ongoing commercial and strategic advisory matters

Unlike more siloed transactional roles, lawyers within the practice are given broad exposure across both transaction execution and ongoing business advisory work. At times, the role can feel closer to an in-house adviser relationship than a traditional external law firm structure.

About you:

• 3+ years' PAE in corporate or commercial law
• experience across M&A, ECM or corporate advisory matters
• strong drafting and analytical capability
• commercially minded and solutions-focused approach
• ability to operate effectively in a fast-paced environment
• collaborative and proactive mindset

Experience working with ASX-listed entities or capital markets matters will be highly regarded, though not essential.
